Break-Up Fee
Definition:
A common provision in an Acquisition Agreement that requires the seller to compensate the buyer if the seller withdraws from the transaction and/or sells to another party. Usually set between 1% and 3% of the offer price, a Break-Up Fee is intended to compensate the buyer for the time and expense incurred if the sale does not go through.
