A second Comfort Letter confirming that the Comfort Letter delivered at an earlier point in the transaction (e.g., on signing of the Underwriting Agreement) remains true and valid as of the date of the second Comfort Letter (e.g., on the Closing of a deal) or the closing of an Over-Allotment Option.
