Drag-Along Rights
Definition:
In the context of a share sale, provisions typically set forth in a shareholders agreement that allow a majority of shareholders (usually 75% or higher) who wish to accept an offer to purchase their shares to force the remaining shareholders to accept the offer at the same price and on the same terms and conditions.
