Executive Officer

Definition:

Defined in Rule 405 of the Securities Act and Rule 3b-7 of the Exchange Act to include a company’s president, any vice president in charge of a principal business unit, division, or function, and any other officer who performs a policy-making function. Executive Officers of subsidiaries may be deemed Executive Officers of the parent company if they perform policy-making functions for the parent company. A Reporting Company is required to make certain disclosures regarding the experience, activities, and compensation of its Executive Officers.
