Form 6-K

Definition:

An SEC form required to be submitted by Foreign Private Issuers of securities subject to the Exchange Act. The form provides US investors with access to the same information as investors, security regulators, and stock exchanges in the Foreign Private Issuer’s home market.

Because there are no other material and detailed reporting obligations required by Foreign Private Issuers, other than furnishing an Annual Report on Form 20-F, the requirement to file Form 6-K demands a certain level of disclosure from the Foreign Private Issuer.

Form 6-K typically is “furnished” rather than “filed,” which has certain benefits in terms of liability. If a Form 6-K is incorporated by reference into a registration statement it becomes filed.
