Free-Writing Prospectus

Definition:

Defined in Rule 405 of the Securities Act as a written communication that, under the Securities Act, falls outside the scope of various offer and registration documents. The communication will relate to the offer to buy or sell registered securities. A Free-Writing Prospectus is not subject to the strict regulations applicable to a Prospectus and is typically used to provide additional information once another document (e.g., a Prospectus or Registration Statement) has already been filed.
