No Registration Opinion

Definition:

A legal opinion confirming that registration of the securities being offered in a transaction is not required under the Securities Act, either pursuant to an exemption from or in a transaction not subject to such registration requirements. In giving this opinion, the lawyer typically relies on the representations and warranties contained in the Underwriting Agreement, as well as the Deemed Representations contained in the Offering Memorandum.
