Definition:

Financial Statement(s) that are prepared to emphasize current, hypothetical, or projected situations but do not reflect actual figures (e.g., Financial Statements delivered in connection with a bank loan Closing to show potential positive effect). To be distinguished from Financial Statements set out according to GAAP.

For SEC registered offerings, Pro Forma Statements must be prepared in accordance with Article 11 of Regulation S-X.
