Proxy Rules

Definition:

The rules governing the solicitation of Proxies under Sections 14(a), 14(b) and 14(c) of the Exchange Act, and the rules and schedules promulgated thereunder. Relevant state corporation law should also be noted.

Foreign Private Issuers are exempt from the Proxy Rules.
