Regulation M-A

Definition:

An SEC regulation on mergers and acquisitions and Tender Offers. Regulation M-A sets out disclosure requirements for Tender Offers of equity securities in Public Companies, including information relating to the issuer, the bidder, and the reasons behind the bid. These include lower reporting and procedural requirements where the issuer’s securities are held by a limited number of US holders. Regulation M-A also includes provisions applicable to Going Private Transactions.
