Related-Party Transactions

Definition:

A transaction between two parties who are connected by a special relationship prior to the transaction (e.g., a contract between a company and one of its major shareholders). There are several regulatory and accounting rules regarding the disclosure of Related-Party Transactions due to the potential that they may not have been negotiated on an “arm’s length” basis and may not be on standard commercial terms.
