Rule 12g3-2(b)

Definition:

A rule under the Exchange Act that exempts Foreign Private Issuers listed outside the United States from having to register a class of equity securities under Section 12(g). Absent the Exemption, a Foreign Private Issuer with 300 or more US shareholders might be required to register with the SEC.
