Section 11

Definition:

Section 11 of the Securities Act, entitled “Civil Liabilities on Account of False Registration Statement.” Provides a private right of action against a party to a Registration Statement who allegedly makes an untrue statement of a material fact or omits to state a material fact that must be made in the Registration Statement, and includes exemptions from such liabilities.
