Bring-Down Certificate of Good Standing

Definition:

In the context of an acquisition, a certificate signed by an Executive Officer of a company stating that all representations and warranties set forth in the relevant agreement are true and valid from the date of signing until the Closing of a deal. The purpose of the certificate is to ensure that any liability that arises between the date of signing and closing remains with the warrantor.
