Compensation Discussion and Analysis (CD&A)

Definition:

Disclosure made pursuant to Item 402 of Regulation S-K in SEC filings of Domestic Registrants. The CD&A is typically included in the annual Proxy Statement. It is effectively a review by the issuer’s management team of the issuer’s compensation policies and practices, including a comparative analysis of executive compensation paid over recent and historical financial periods.
