Proxy Statement

Definition:

The disclosure document containing certain information (as required by the Proxy Rules) to be provided to securities holders of Public Companies, pursuant to the solicitation of their Proxies.

Proxy Statements are filed on SEC Form DEF 14A and must contain all the information that a shareholder might need in order to come to an informed decision set out in Rule 144A on voting on matters in an Annual General Meeting (AGM), or other shareholder meeting.
