Integration

Definition:

A situation in which two or more Private Placements of similar securities made within a six-month period are aggregated and treated as a single SEC-registered offering for purposes of determining their exemption from the registration requirements of Section 5. Integration could prevent the application of the Private Placement exemption. See Rule 502(a) of Regulation D for the five-factor integration test.
