Private Placement

Definition:

A non-public, unregistered offer of securities to a limited range of buyers, usually wealthy individuals or large institutions. Private Placements are ordinarily conducted pursuant to Section 4(a)(2) of the Securities Act which exempts from SEC registration “transactions by an issuer not involving any Public Offering.”

Regulation D provides non-exclusive Safe Harbors under Section 4(a)(2).
