Definition:

The National Securities Markets Improvements Act of 1996, which established that US federal securities laws pre-empt US state securities laws (Blue Sky Laws) for some securities offerings. As a result, Private Placements conducted in reliance upon Rule 506 of Regulation D are generally not subject to separate state registration requirements, although certain limited state filings may be required.
