Proxy

Definition:

A person who is authorized to vote on behalf of a shareholder for a particular purpose. For instance, a shareholder who cannot attend a company’s Annual General Meeting (AGM) may choose someone to vote his or her shares by Proxy.

A Proxy may also refer to a power of attorney document signed by a shareholder authorizing another shareholder or representative to vote on behalf of the shareholder at a company’s Annual General Meeting.
